Legal service · Minh Bach Law Firm
Incorporation and changes of foreign-invested (FDI) companies is a specialized legal service for foreign investors and foreign-invested economic organizations in Vietnam.
We support the entire process: reviewing market-access business lines, obtaining the Investment Registration Certificate, enterprise registration, and thereafter the procedural changes arising during operation — project adjustments, changes to capital, members, shareholders, and the legal representative.
With a team of experienced lawyers, we accompany investors throughout the entire process — from consultation and dossier drafting to representing investors before the Department of Finance, industrial park management boards, and other competent state agencies. All advice is based on current legal documents, with their validity verified before application.

Frequently asked questions
What licenses must a foreign investor obtain to incorporate a company in Vietnam?
Depending on the project, investors usually must complete the procedures for obtaining the Investment Registration Certificate (if subject to investment registration) and the Enterprise Registration Certificate. Some cases are exempt from investment registration procedures under the Investment Law 2020. Our lawyers will determine the exact procedures applicable to each project.
How long does it take to incorporate an FDI company?
Usually 15-30 working days depending on the business lines, the licensing authority (the Department of Finance or the industrial park management board) and the complexity of the dossier, excluding the time to complete post-license procedures.
Which business lines are foreign investors not allowed to operate?
Prohibited and market-access-restricted business lines are specified in the Investment Law 2020 and international treaties to which Vietnam is a party. The business line review must be conducted at the outset to avoid wasting time and costs.
Can an FDI company handle change procedures itself?
It can, but change dossiers involving a foreign element are often complex (project adjustments, capital transfers, investor changes). Errors prolong the process and create legal risks. A lawyer ensures the dossier is correct from the start and advises on related tax and financial obligations.
